PART 1: TERMS AND CONDITIONS OF USAGE

1. WHO WE ARE
Vendr is operated by Lorenzo Martin trading as Vendr ("Vendr," "we," "us," or "our"). For questions about these Terms, contact us at support@vendrtcg.com.
2. ACCEPTANCE OF TERMS
By creating an account, accessing, or using the Vendr software application, platform, API, or related services (collectively, the "Service"), you ("User," "Merchant," "Store Owner," or "Vendor") agree to be bound by these Terms and Conditions ("Terms"). You acknowledge and agree that any active or continued usage of the platform constitutes your full and binding acceptance of these Terms and Conditions. If you do not agree to these Terms, do not access or use the Service.
3. DESCRIPTION OF SERVICE
Vendr is a cloud-based, multi-tenant SaaS platform providing point-of-sale (POS) checkout tools, real-time inventory tracking, card database mirroring (e.g., TCGdex integration), over-the-counter bi-directional trade desks, and cash ledgers designed for retail stores, convention sellers, and trading card collectors.
4. ACCOUNT REGISTRATION & SECURITY
Eligibility: You must be at least 18 years old and capable of entering into a legally binding contract to open a Vendr account.
Credentials: You are responsible for maintaining the confidentiality of your account login credentials (managed via Supabase authentication infrastructure) and for all activities that occur under your account.
Multi-Tenancy & Store Scoping: You agree not to attempt to circumvent data scoping rules, access inventory or ledger tables belonging to other stores, or exploit APIs to alter global master catalog tables without authorization.
5. MERCHANT RESPONSIBILITIES & COMPLIANCE
Vendr provides software infrastructure only. As a Store Owner or Vendor utilizing Vendr, you acknowledge and agree that:
Authenticity and Legally Authorized Sales: By utilizing the platform, you agree that you will only list and sell original, authentic items that you are legally allowed to sell. Vendors are strictly prohibited from utilizing the platform to list, sell, or trade counterfeit goods, unlicensed merchandise, or items that infringe upon the intellectual property rights of third parties. You are solely responsible for compliance with local, state, federal, or national laws governing retail sales and second-hand dealer licensing (e.g., Kobutsu Sho licenses in Japan or pawn/resale laws in your jurisdiction), anti-money laundering (AML), and customer identity verification when operating buylists or trade features.
Pricing & Grading Accuracy: You are strictly responsible for setting prices, verifying physical card condition, grading accuracy, and monitoring POS cart totals. Vendr is not liable for financial losses resulting from staff scanning errors, incorrect catalog pricing, or accidental overrides.
Counterfeit & Unlicensed Goods: Any vendor found trafficking counterfeit goods or unauthorized items will face immediate account termination.
Customer Transactions: Any physical or monetary trade, purchase, or sale conducted between your store and your end-customers is a contract solely between you and the customer. Vendr is not a party to your retail transactions.
6. BILLING, SUBSCRIPTIONS & MERCHANT OF RECORD (PADDLE)
Merchant of Record: All payment processing, software licensing, subscription invoicing, and tax collection for Vendr SaaS access are handled by our Merchant of Record, Paddle.com Market Limited / Paddle.com Inc. ("Paddle").
Paddle Buyer Terms: By subscribing to Vendr, you acknowledge that your financial transaction is conducted with Paddle and is subject to Paddle's Checkout Buyer Terms.
Taxes: Paddle automatically calculates, collects, and remits all applicable local sales taxes, Value Added Tax (EU/UK VAT), Goods and Services Tax (GST), or Digital Services Taxes based on your billing location.
Recurring Billing: Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date via your account dashboard or by contacting Paddle support.
7. INTELLECTUAL PROPERTY & DATA USAGE RIGHTS
Vendr IP: All rights, title, and interest in and to the Vendr software, user interface design, custom RPC database logic, scan guardrail algorithms, and documentation are solely owned by Vendr.
User Data & Price Analytics License: You retain full ownership over your proprietary business data, store inventory lists, and customer transaction records ("Store Data"). You grant Vendr a secure, limited license to host, process, and back up Store Data to deliver the Service. Additionally, you grant Vendr a perpetual, worldwide, royalty-free right to anonymize, aggregate, and analyze your Store Data (including POS transaction pricing, buylist trade logs, and inventory movement) for the purpose of developing, training, and powering internal market price analytics platforms, pricing valuation benchmarks, and related industry tools.
Third-Party Trademarks: Pokemon, TCGdex, Avery, and other third-party trademarks or card imagery mirrored within the catalog remain the intellectual property of their respective rightsholders and are used within the software for identification and inventory tracking purposes only.
8. LIMITATION OF LIABILITY & DISCLAIMER OF WARRANTIES
Complete Release of Responsibility: By accessing or using the Service, the User explicitly agrees to release Vendr, its officers, directors, employees, partners, and all its affiliates from any and all responsibility, liability, claims, demands, or damages (actual and consequential) arising directly or indirectly out of or in any way connected with the use of the platform.
"AS IS" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted system uptime.
API & Pricing Inaccuracy Disclaimer: Vendr relies on third-party APIs and community databases to populate card metadata and market reference prices. Vendr does not guarantee the accuracy, uptime, or real-time synchronization of these third-party services and is not liable for financial losses, diminished profit margins, or customer disputes resulting from incorrect catalog pricing or third-party API outages.
Offline Mode & Data Loss: Vendr may offer partitioned offline POS capabilities. Vendr is not responsible for any catastrophic data loss, local browser cache clearings, or multi-channel inventory conflicts (e.g., overselling online and in-person simultaneously) that occur while the user operates the POS disconnected from the internet.
Liability Cap: To the maximum extent permitted by applicable law, Vendr's total aggregate liability for any claims arising out of or related to these Terms or your use of the Service shall not exceed the total amount paid by you for the Vendr Service during the twelve (12) months immediately preceding the event giving rise to the liability.
Consequential Damages: In no event shall Vendr be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, lost data, business interruption, or hardware/printer malfunctions.
9. REFUSAL OF SERVICE & ACCOUNT TERMINATION
We reserve the right to refuse service to anyone for any reason at any time. Furthermore, we reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms, engage in fraudulent payment activity, abuse API endpoints, or conduct illegal resale operations. Upon termination, your right to access the Service will immediately cease.
